Contents
1. Agreement and Scope
These Service Provider Payment Terms ("Payment Terms") govern a Service Provider's use of payment features made available through Anvora. Anvora is developed and operated by Malliva Labs Ltd, a company registered in the United Kingdom ("Anvora", "we", "us" or "our").
These Payment Terms supplement our Terms of Service. If there is a conflict about a service-payment matter, these Payment Terms control. The Terms of Service continue to apply to all other use of Anvora.
The person accepting these Payment Terms confirms that they are authorised to bind the Service Provider operating the relevant Workspace. Acceptance is recorded separately for each Workspace.
2. Definitions
- Service Provider
- means the individual professional, sole trader, partnership, company, nonprofit or other legal person that supplies services to Customers through Anvora.
- Customer or Payer
- means a person or organisation that books or pays for a Service Provider's service.
- Workspace
- means the technical account area used to manage activity on Anvora. A Workspace is not itself a legal person.
- Payment Processor
- means the independent payment provider used to process a Service Transaction.
- Connected Payment Account
- means the Service Provider's account with the applicable Payment Processor linked to Anvora.
- Service Transaction
- means a payment made for a Service Provider's service through Anvora.
- Platform Fee
- means the amount Anvora charges for facilitating a Service Transaction.
3. Roles and Service Relationship
The Service Provider is the seller and contracting party for the underlying service. The Service Provider, not Anvora, is responsible for describing, supplying and supporting that service.
Anvora supplies technology that facilitates booking, payment and related administration. Anvora is not the seller or provider of the underlying professional service. A Payment Processor performs payment-processing functions under its own applicable agreement.
4. Eligibility and Review
A Service Provider must provide accurate and complete information about its legal identity, location, industry and services. It must maintain all licences, registrations, permissions and professional qualifications required wherever it operates or serves Customers.
Anvora and the Payment Processor may request information, conduct reviews, impose restrictions or decline payment access. Approval by Anvora does not guarantee approval by a Payment Processor, and processor approval does not replace Anvora's requirements.
5. Payment Processor and Authority
The Service Provider must accept and comply with the agreement, verification requirements and restricted-business rules presented by the applicable Payment Processor. Anvora may change or add processors and will identify the applicable processor during setup.
The Service Provider authorises Anvora to submit and administer charges, Platform Fees, transfers, settlements, refunds, fee refunds, reversals, disputes and related reconciliation through the Payment Processor, and to retrieve information reasonably necessary to do so.
The Service Provider must keep its Connected Payment Account accurate, secure and accessible and must promptly complete any verification or remediation requested through Anvora or the Payment Processor.
6. Fees, Currency and Taxes
Anvora's standard Platform Fee is 20% of the gross Service Transaction amount. A different rate applies only where it is expressly displayed to or separately agreed with the Service Provider. The applicable Platform Fee may be deducted before funds are transferred or settled.
Payment Processor, payment-method, network, conversion or other third-party charges may also apply. Amounts are recorded and administered in their actual transaction or settlement currencies. Anvora does not assume currencies are interchangeable or promise a particular exchange rate.
The Service Provider is responsible for determining, collecting, reporting and paying taxes connected with its services and income, and for issuing legally required invoices or receipts to Customers. Anvora remains responsible for taxes on its own fees where required.
7. Settlement and Payouts
Settlement and payout availability depend on the Payment Processor, payment method, currency, country, verification status, reserves or restrictions, and the final status of related transactions. Displayed arrival dates are estimates unless stated otherwise.
Payouts may be delayed, failed, reversed or restricted by the Payment Processor or where needed to address refunds, disputes, suspected fraud, legal obligations or an outstanding negative balance. The Service Provider remains responsible for amounts it owes after a payout has been made.
8. Cancellation and Refunds
The Service Provider must select and honour an Anvora-supported structured cancellation and refund policy. The policy displayed for a Service Transaction is recorded for that transaction and determines the Customer’s minimum refund entitlement under that policy, subject always to mandatory law. Additional terms provided by the Service Provider cannot reduce that entitlement.
Anvora may calculate and administer full or partial refunds under the applicable policy. Where a request requires Service Provider review, the Service Provider must respond within the deadline shown by the platform. The Service Provider may grant a refund greater than the Customer’s calculated entitlement but may not reduce a positive entitlement determined under the applicable policy.
A refund may reverse the corresponding Service Provider transfer and proportionately adjust the Platform Fee. Where permitted by law and the applicable policy, only exact, evidenced and non-refundable processor costs attributable to the Service Provider may be retained. Anvora does not estimate processor costs or invent currency conversions.
A Service Provider may choose a discretionary goodwill refund, including a full refund, while expressly keeping the Customer's booking available. A goodwill payment adjustment does not itself cancel the booking or change the cancellation policy entitlement. A later cancellation takes account of money already returned while preserving the entitlement calculated from the recorded policy.
If payment, transfer, fee, currency or processor evidence is incomplete or ambiguous, Anvora may pause execution for manual review rather than perform an uncertain financial action.
9. Disputes, Chargebacks and Fraud
Customers and Service Providers may use Anvora’s internal review and mediation process before an external payment dispute. Doing so is encouraged but does not waive any statutory, contractual, payment-method or chargeback rights.
Anvora may make a binding platform decision where the applicable structured policy was misapplied, there was a platform error, or applicable law or payment rules require intervention. For subjective service-quality disagreements, Anvora ordinarily acts as a mediator and does not determine the merits or quality of the underlying professional service.
An external dispute may pause the internal refund process to prevent duplicate recovery. The Service Provider must promptly provide complete, accurate and relevant evidence requested in connection with a dispute, chargeback, fraud warning or compliance review. Applicable deadlines may be short, and late responses may affect the outcome.
Anvora may administer or respond to disputes through the Payment Processor, restrict new payments and recover the Service Provider’s proven settlement portion and any other amounts for which the Service Provider is responsible under these Payment Terms. Anvora does not guarantee the outcome of any dispute.
Where a dispute causes the Payment Processor to charge Anvora a distinct fee, Anvora may seek recovery from the responsible Service Provider only for the exact fee actually charged, in its actual currency, where the applicable agreement and processor rules allow that collection. Account balance collection requires the Service Provider's acceptance of the version authorising it and remains subject to processor account, corridor, currency and balance restrictions. Uncertain or unsupported collection is referred for review rather than attempted through another payment method.
A later processor credit is checked against the particular fee previously recovered. A dispute win or unrelated credit does not automatically return a recovered fee; Anvora reviews any proven correction before restitution.
10. Service Provider Responsibilities
The Service Provider must:
- describe services, prices, taxes, timing and material conditions accurately;
- provide required pre-contract, cancellation and refund information;
- deliver services lawfully, competently and in accordance with professional duties;
- maintain suitable customer-service and complaint processes;
- keep transaction and fulfilment records required by law; and
- not use Anvora for prohibited, deceptive, unlawful or processor-restricted activity.
The Service Provider is responsible for determining which consumer, professional, licensing, tax and distance-selling rules apply in every country where it operates or serves Customers.
11. Payment Data and Privacy
Anvora minimises identity information included in service-payment records and internal payment reviews. Provider-facing and staff review is based on payment references, Anvora-assigned pseudonyms, applicable policy information, transaction details and reasons supplied by the payer where appropriate, without requiring disclosure of the payer’s underlying identity.
Anvora-assigned pseudonyms are not provided to the Payment Processor. Anvora may provide the payer’s email address where necessary for payment processing, receipts, fraud prevention or transaction support. Additional billing or identity information may be processed where required to complete, administer, protect or comply with legal requirements relating to a payment.
Internal refund and policy reviews do not require the payer’s underlying identity. Confidential session or conversation content is not automatically accessed or submitted as evidence when reviewing a refund request.
External payment disputes may require identity, transaction or other relevant evidence to be processed by the Payment Processor, payment method, card network, issuer or another legally involved party. Anvora does not guarantee anonymity in those external proceedings.
Our Privacy Policy explains relevant data categories, purposes, retention, international transfers and individual rights.
12. Suspension and Termination
Anvora may restrict or suspend new payments where a Service Provider does not meet these Payment Terms, presents unacceptable risk, fails a review, loses processor capability, or where action is reasonably required by law, a Payment Processor or platform security.
Disconnection or termination does not cancel completed Service Transactions or end obligations relating to refunds, disputes, chargebacks, taxes, negative balances, investigations, records or amounts already owed.
13. Changes to These Terms
We may issue a new version to reflect changes to payment features, processors, law or business practices. We will identify the new version and effective date and provide notice where appropriate. We may require a Service Provider's authorised administrator to accept a materially changed version before further payments.
14. International Use and Governing Law
Payment features, processors, methods and settlement corridors are not available in every country or currency. The Service Provider must not attempt to circumvent a geographic, legal or processor restriction.
These Payment Terms are governed by the laws of England and Wales, and disputes relating to them are subject to the courts of England and Wales. Nothing in these Payment Terms excludes mandatory laws, rights or protections that cannot lawfully be excluded in another applicable jurisdiction.
